End User License Agreement

Agreement to This EULA

This End User License Agreement ("EULA") is a legal agreement between you (either an individual acting on behalf of a company, or the company itself) and Dedups.ai ("Dedups", "we", "us") for the use of our software. By installing, accessing, or using any Dedups software, you agree to be bound by this EULA. If you do not agree, do not install or use the software.

Dedups is a business-to-business (B2B) service. This EULA is intended for companies and organizations, and for the adults acting on their behalf in a professional capacity - not individual consumers.

What This EULA Covers

This EULA applies to the following Dedups software ("the Software"):

License Grant

Subject to your compliance with this EULA and your subscription agreement with us, Dedups grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Software solely to access and use Dedups' services, for your own internal business purposes.

This is a license, not a sale. Dedups and its licensors retain all right, title, and interest in and to the Software, including all intellectual property rights. Nothing in this EULA transfers ownership of the Software to you.

Restrictions

Except as expressly permitted by this EULA or applicable law, you agree not to:

• Copy, modify, or create derivative works of the Software, except as this EULA expressly allows
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software
• Sell, rent, lease, sublicense, or otherwise transfer the Software to any third party
• Remove or alter any proprietary notices, labels, or marks on the Software
• Use the Software to build a competing product or service
• Use the Software in a way that violates applicable law, including export control and sanctions law

Ownership

The Software, including its source code, structure, algorithms, and design, is owned by Dedups and protected by copyright, trademark, trade secret, and other intellectual property laws. Any feedback, suggestions, or ideas you provide about the Software may be used by Dedups without obligation to you.

Updates & Modifications

We may release updates, patches, or new versions of the Software from time to time, including automatic updates for agents like the inspector. We may also change or discontinue features of the Software. We will try to give reasonable notice of changes that materially affect how the Software works.

Export Control & Sanctions

The Software may be subject to export control and economic sanctions laws of India, the United States, and other jurisdictions. You agree not to export, re-export, or make the Software available, directly or indirectly, to any country, entity, or individual restricted or prohibited under such laws, including anyone on a denied-party or sanctions list. You are responsible for complying with all export control laws that apply to you.

AI-Assisted Features

Some Software features use AI, including third-party AI providers such as OpenAI, to generate suggestions - for example, remediation recommendations or automated replies. AI-generated output is a suggestion, not a guarantee, and may be incomplete or inaccurate. You are responsible for reviewing AI-generated content before relying on or acting on it.

Disclaimer of Warranties

The Software is provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Software will be error-free, uninterrupted, or that it will detect every security vulnerability or issue.

Limitation of Liability

To the maximum extent permitted by law, Dedups will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Software, including loss of data, loss of profits, or business interruption. Our total liability under this EULA will not exceed the amount you paid for the services associated with the Software in the 12 months before the claim.

Termination

This EULA is effective until terminated. It terminates automatically if you breach any of its terms, or when your subscription with Dedups ends. Upon termination, you must stop using the Software and uninstall it from all devices and systems. Sections of this EULA that by their nature should survive termination (including ownership, disclaimers, and limitation of liability) will survive.

Governing Law & Disputes

This EULA is governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

Any dispute arising out of or relating to this EULA will first be addressed through good-faith negotiation. If it cannot be resolved that way, it will be referred to and finally resolved by arbitration in New Delhi, India, conducted in English under the Arbitration and Conciliation Act, 1996, by a sole arbitrator appointed by mutual agreement. The seat and venue of arbitration will be New Delhi, and the arbitration award will be final and binding on both parties.

Relationship to Other Terms

This EULA works alongside our Terms & Conditions, which govern your overall use of the Dedups platform and services, and our Privacy Policy and Cookie Policy, which explain how we handle your data. If there is a direct conflict between this EULA and the Terms & Conditions specifically about the Software, this EULA controls for that Software.
